The amendments are good in principle but in typical Pacifica manner come out of nowhere in the midst of other pressing issues. The amendments would reduce the size of the boards and the number of meetings, allow the affiliates to nominate their own directors, deal with vacancies and end the use of membership waivers which allows people to vote without donating time or money. They need to be passed by the PNB and three local boards. These are the same bodies that can barely manage to conduct normal meetings. If they try to force these changes, it would only make things worse. The members need to seriously reflect on where they want to go instead of continuing on with the unacceptable status quo.
ReplyDeleteIf these bylaw amendments actually get through the cumbersome process and get approved, they could likely be deemed to have violated the bylaws which say all bylaw amendments must be approved by December 31 of the year in which they were introduced. It looks like they intend to do this by, again, violating the bylaws and CA Corp Code by extending their PNB terms until sometime in the future if/when this election is completed in maybe March or April. The bylaws state there is an election for PNB Directors every January.
