Exile Report: Lydia's Scorecard

Berkeley-Independent national board members Grace Aaron, Jan Goodman, Jonathan Alexander and Bill Crosier have called for another special meeting on finances. Board chair Tony Norman announced he was unilaterally cancelling the July 28th meeting in advance and board secretary Janet Kobren cancelled the posted meeting notices. But Houston listener rep Bill Crosier indicated in a public email that the called meeting would occur despite their actions. "The meeting is still on and will happen, regardless of whether you continue, in your childish manner,  to cancel the meeting listing on the kpftx calendar. I wish you would be willing to cooperate, but we’re going to have the meeting on July 28, whether you like it or not".

The special meeting is scheduled for Thursday July 28th at 8:30pm EST, 5:30pm PST. It is not known if the 14-member board majority will again boycott the meeting in their entirety as they did the previous special meeting on the financial crisis. If the meeting achieves quorum (which takes six members of the majority breaking ranks), then it will be streamed via the kpftx.org website. If the meeting does not get to a recognized quorum of 10, then the directors present will reconvene on an alternate telephone conference line and the meeting will be streamed here. {PNB Uncensored Channel}. If the meeting is boycotted,  the directors present will hold a Community Town Hall in the second half of the meeting. After a discussion among themselves, including the 4 elected directors from WBAI who have been excluded all year, board members will take questions and comments from the public which can be emailed, starting now and throughout the meeting, to questionsforpnb@gmail.com. 

In the 9 months since Lydia Brazon took over as the latest volunteer executive director, Pacifica has slid into a hole so deep it may not ever get out. Pacifica has not had an executive director for 21 of the last 28 months -  nor have they scheduled an evaluation of Brazon's performance. Pacifica in Exile has decided to remedy that oversight.

So how is Brazon doing? There are a few problems.
  • Losing the experienced archives director, discouraging the Library of Congress Radio Preservation Task Force from helping to raise funds for the archives, losing the preservation fellow housed at the archives and not ensuring adequate central services funding nor developing an alternative plan for funding PRA before the potential loss of as much as 50% of Pacifica's audio history.

  • No 2016 organizational budget, no realistic plan to pay for required annual audits, payroll, health insurance for employees, directors and officers liability insurance and other necessary expenses. Allowing stations to develop draft budgets with unrealistic revenue estimates that guaranteed 2016 deficits, despite warnings this would happen (and it has).
  •  
  • Retaining an attorney who has significant conflicts of interest that prevent him from providing unbiased legal help.

  • Using restricted grants for operating expenses.
  •  
  • Allowing the General Manager of KPFK to violate the union agreement and bargain in bad faith.

  • Not getting timely audits done as the law requires.

  • Not requiring WBAI, WPFW and KPFK to develop a workable plan to send out promised premiums/thank-you gifts to donors or at least to contact donors with undelivered premiums.

  • Refusing to update the PNB on any investigation that might have occurred regarding allegations of copyright infringement.

  • *Failing to ensure that WBAI has at least one working telephone with a public number.

  • Not requiring WBAI and WPFW, nor helping them to, develop a workable plan to reverse their dramatic drops in listener support.

  • Failing to present a realistic strategic plan for Pacifica to increase the overall number of individual listeners and the time they spend listening, to improve the quality of programs, to increase the per day fund drive totals, to increase both on air and off air fundraising, improve the financial accounting infrastructure so financial reporting is done in an accurate and timely manner or establish professional human resources capacity.

  • Failing to ensure that KPFA repays funds from the bequest received last year that were intended for the Pacifica Foundation after the PNB voted last year to require those funds be given to the national office.

  • Failing to ensure compliance with all federal, state and local laws, regulations and reporting requirements including Title 7 training.
Grade: Fail
Since Lydia Brazon has been interim Executive Director (iED) of Pacifica, the financial, legal, and organizational problems have continued to multiply, and member numbers continue to dwindle. Plans for reversing the acute downward slide are nowhere to be found. Please sign the petition to tell the PNB it's time to let Lydia Brazon go as volunteer iED.

Pacifica needs a new interim Executive Director who will work full-time to preserve all of the stations and put Pacifica on a course to return to sustainable operations. 

Given the rate of acceleration of Pacifica's financial decline, the special meeting on the 28th may tackle some pretty grim subjects, among them the prospects of taking one or more stations temporarily dark or future prospects in a bankruptcy court.

In the month since the last special meeting on finances was called, the official board of directors has done almost nothing; passing a motion to pay the 2014 audit fee and then not paying it  - and quibbling over which units would get political convention pledges, which are turning out to be so meager they may not even cover the direct costs of producing the coverage. The one thing the board did do was miss WBAI's payroll on July 15th. The CFO has warned of other upcoming payrolls that are likely not to be met (Including Washington's this week). With directors liability insurance expiring on August 11th, being on the Pacifica board of directors is becoming an increasingly risky proposition.

While some board reps have chirped about how bankruptcy could be a fresh start (William Campisi - KPFA), (Jose-Luis Fuentes - KPFA), (Brian Edwards-Tiekert-KPFA), the reality is that entering into voluntary bankruptcy is a process fraught with risks, from creditors issuing their *own* reorganization plans - on their terms - to the FCC repossessing Pacifica's licenses. In the case of New York  and Berkeley, the radio licenses might be released back into the commercial band (both stations are convertible), ending any ongoing existence for either as non-commercial radio stations. 

Less drastic actions might include local management agreements (LMA's) or temporary shutdowns in order to quickly cut expenses and reboot struggling stations with a different operational plan. Cash infusions, while only a temporary bandaid over ongoing losses, may be possible from the mortgage or sale of the national office building contingent on securing an up to date audit report. Corporation for Public Broadcasting funding, the lowest hanging fruit for a cash infusion, has been pretty much removed from the picture by the board majority shenanigans with the audits. The late audits that began in 2014 have cost the network $2,000 a day for more than two years. At this point, $1.75 million in grant funding is unrecoverable, and the remaining $500,000 would require the rapid submission of two audit reports, one of which has not been started, and an immediate cash outlay of about $150,000.

    I thought the conventions coverage was supposed to be the big financial savior? What did I tell you?

    They waste money and time on audits they don't finish so they don't get CPB money. Why even bother in the first place? Just forget the CPB and save the wasted audit money in the future. Don't even start on the 2015 one.

    1. Its still early. We're in the middle of the Democratic convention and the Green Party convention is coming soon. Have all the stations really broadcast all of it? Are they repeating it? If not why not? What has been the feedback? These guys went out of their way to do this despite all the issues with the network. They really need to provide more information. I could do hours of programming just on the Republicans alone. The Democrats have their own issues and even the Greens have their drama regarding Sanders supporters. I supported the idea but if they're not putting any real effort behind it then what's the point?

    3. I have been going back and forth between Pacifica's coverage and that of PBS/NPR and the majors. It should not have surprised me, but it is, nevertheless, startling to see how very important events are totally ignored by the TV networks.

      Pacifica is seriously handicapped by having limited funds and resources, but I am impressed by the thoroughness of their coverage. One important example is the physical walkout of Sanders delegates in protest over the media-aided distortion/rigging of a "unity" for Hillary. Watching the screen and listening to the commentators one gets the false impression that discontent has been straightened out and everybody's happy.

      Pacifica had one or two people reporting directly from an area where staunch Sanders delegates were locked in while the farce played out in the convention hall. If one had any doubt that the DNP deliberately obstructed Bernie Sanders' path, this scenario alone offers damning proof.

      I don't know if anyone from WBAI was involved in the Pacifica coverage, but there are still people around who don't feel a need to resort to distortion of facts.

      All the more regrettable that WBAI and the Foundation is infested with a morally bankrupt wrecking crew.

    4. I agree that the corporate media stopped doing their job a long time ago. The DNC let Sanders have his "Hillary 2008 Moment Putting Obama Over the Top Updated to 2016". Now, they want his supporters to please sit down and shut up. If not, the DNC will revoke their credentials and throw them out. If you don't believe me, do a You Tube search on Ray McGovern non violently protesting a Hillary speech at GWU.

    5. While Pacifica is limited on money and resources, I disagree that the convention coverage has been that great. At the RNC, they had 3 main anchors. Mitch Jeserich was no where to be found, much of the time. WPFW's ND and Davey D (to their credit) were spot on in many of their points. As for Carolyn whoever and Will Durst? Sorry, but pointless rambling is not funny.

      So far with the DNC, sorry, but Margaret Prescott's just boring. She may try, but she's still boring. But at least they have others like Bill Gaegos (sorry if I misspelled the last name) who are making needed points. 2 more days to go.

    6. With all of the lawsuits, fraud, on air (and in print) trashing of Pacifica staff; has it occured to anyone that maybe NOBODY will EVER want anything to do with this mess? No reputable media business will touch it. Not even a vulture or hedge fund will invest in it to make what they think is a quick (or not so quick) killing.

    7. I'm sorry if I gave the impression that I consider the Pacifica coverage great. It isn't, but relatively speaking...

      It was certainly spotty, but not cringe-inducing and there were important points made that a seemingly choreographed corporate media chose to ignore.

      Prescod is annoying and seriously biased. Pointless rambling always embarrasses me, but it has become a mainstay of WBAI.

    8. I think it's pretty clear to most of us that Pacifica has been damaged beyond repair—you can outfit a station like WBAI with great equipment and hire great people to run it, but that would not resurrect it at this stage.

      The good reputation is shot, the listener-supporters have fled, and neither can be restored in the time it would take to make the investment worthwhile.

      On the plus side—if there be one—is the fact that WBAI's final gasp will signal the disappearance of some of the most shameless, mindless hate mongers from New York's air.

      The good people will find other outlets.

To the best of my knowledge, while the CPB requires annual independent audits for CPB applicants, the IRS and State of California may only require audits every two years to maintain 501(c)3 and nonprofit corporation status for organizations of Pacifica's size. So, indeed, Pacifica might save the cost of an audit by skipping a year. However, Pacifica has lately been relying upon expensive auditors to straigtern out the books bungled by less-expensive (per hour) bookkeepers and CFO's. The cost of straightening out two years of bad books is likely to be at least twice the cost of straightening out one year of bad books. Bottom line, no more than one audit every two years can be skipped, and the actual savings for Pacifica in skipping an audit year would be less than might otherwise be expected, due to its bad bookkeeping.

    1. What puzzled me about Profitt's early departure was the fact that he did not come to Pacifica out of the blue. Surely, he had more than an inkling of that Foundation's unorthodox approach to business and history of mis-steps.

    2. I don’t know Proffitt, so it’s impossible to guess what his thinking might have been in taking on the job. In general, though, it’s easy to imagine a capable person who shares many of Pacifica’s theoretical ideals thinking he can be a catalyst for change – to save them from themselves. The very fact that they selected him might well have suggested to him a willingness to work for reform, for change, for function that would serve their notional ideals and purposes. It might have been that, in his mind, or it might have been some degree of literal ignorance. It’s difficult to grasp, I think, what a spectacularly nasty, petty, uncooperative, spiteful, willful, nasty little children these are, without having some meaningful exposure to them. I would guess – only a guess – that whatever his thinking was in attempting the challenge it became pretty clear pretty quickly that it was a lost cause – that they were a lost cause. This is, after all, in every sense a singularly disagreeable bunch.

      I can’t speak for Null’s thinking either, of course, but in part he has nothing to lose, has he?

      For my part, of course, I see this as a cause lost long, long ago.

    3. I think Proffitt was simply naive about why he was hired (so they could have a figure head ED) and about the type of people he was dealing with. In a way, he was a professional for realizing he was being treated like trash and deciding to leave.

      Null is on again now and made me realize something. He talks about negative people, but does he ever have anything nice or happy to say? All he does is complain, spew conspiracies, slam anyone he disagrees with, etc. Null is truly a miserable little shit.

      And as for the book Null is selling to WBAI listeners exclusively at half price of $75, look at the same book on amazon! Need I say more?

    What is not generally known is that one day John Proffitt visited the offices of WBAI. And what happened? The elevator at 388 Atlantic Avenue broke down. John Proffitt was stuck on an elevator with Carolyn Birden and Janet Coleman telling Proffitt how to run WBAI.

    It was during this visit that Proffitt discovered that Berthold Reimers had entered fraudulent figures about the rent for the Empire State Building. The unpaid rent for the Empire State Building is accruing at a rate of $43,000 per month (minimum) plus late fees and interest charges. Berthold Reimers admitted this to me at the July 13th meeting of the WBAI Local Station Board. Ed Manfredonia

    1. I knew about his being stuck on the elevator, but this is the first I hear of what went on in there.

      As for Berthold Reimers' keeping the extent of WBAI's debt a secret and his routine juggling and altering of bottom lines, I was pretty certain that this was going on. The sudden appearance of a significant ESB bill opened my eyes to the seriousness of Reimers' coverups. Did that bombshell not drop during Summer Reese's visit?

I don't know Proffitt but its pretty easy to imagine some guy coming in to town, getting stuck in that old elevator/closet, getting an earful about who did what to whom and then emerging into a makeshift office. He can hear the folks babbling on the air as he checks the unmarked doors wondering what the hell are they talking about? I can almost see the expression on his face after he learns the true numbers. Not believing what he sees, he checks again. He can't understand why WBAI is in this state when it should be the leader of the network.
      After getting evasive answers and wondering why he can't find this data in Great Plains, he decides to leave by the stairs. He politely dodges people trying to get him to support their pet project or ask him to convince the national board to do or not do something. Once outside, he checks his contacts to make sure he still has the numbers of people from where he worked before. He then calls Berkeley and tries to keep his voice down as he talks about his trip. When he's done, he heads to the airport. He's supposed to go to DC but its too much for him right now and he decides to head home and take an early vacation.

  4. Idea. Many Sanders people are so disgusted with the DNC they're walking out. Pacifica has five network affiliates. Since things are so horrible, how come all volunteers haven't banded together and said ____ this ____. Management, you can go to hell. And then walk out and not come back? They're volunteers. What's Pacifica HQ gonna do? Fire them?

    To each their own. But if I was a volunteer, I would have left a LONG TIME ago.

    In these desperate financial times, there is a temptation to take rash measures. There have been some dangerous notions thrown around lately, efforts to authorize the taking of any extra cash in station accounts to pay “other” outstanding debts. We all know the incredible financial trouble our sister stations are facing and just a measure of extra cash will not be sufficient to pay all their bills.
    To have any of our funds arbitrarily removed makes our critical monetary situation downright insurmountable.
    As General Manager I alone, per my job description, have the fiduciary responsibility for KPFA. I have to ensure that our payroll and benefits are funded. The law is clear if we can’t make payroll the union employees must be informed and we must stop operations. Any person using employee funds for any purpose other than salary will be held liable and accountable.
    Just as important I feel that we are breaking the bond, the scared pledge between our listeners, violating the donor’s intent to give money to support and maintain KPFA.
    I hope you will collaborate with us before any withdrawals are taken.

    1. I don't know, Ed. There was no such requirement when I was the manager, but that was in the Sixties, so a change is likely to have occurred. There was an annual review of complaints, which took place around license renewal time.

      The only time we heard from the FCC was in response to complaints. They would send us a copy of the complaint for us to deny or verify--if the latter applied, we were obligated to submit an aircheck and explanation. I only recall one case, a letter objecting to Baraka (then Leroi Jones) including a couple of curse words in a live reading of his poetry.


      The complaint was dismissed by the FCC, because Leroi was "a noted, published author." Didn't make o lot of sense to me, but that's how it was. I suppose the FCC might take a closer look if serious complaints became commonplace.

      Perhaps someone who is more up to date on the rules has the answer.

      In the case of WBAI, it would surprise me if other federal agencies shouldn't be looking into the operation.

    1. I have tried to find that in the archived show, but without luck. I listened to his show today (Thursday, noon to 1 PM) but it was the usual stuff without a hint of a plug—I suspect it was a rerun.
